These Terms of Service (“Terms”) govern access to and use of Reveiler. By creating an account, accepting an order, connecting a service, or using Reveiler on behalf of an organization, you agree to these Terms and represent that you have authority to bind that organization. If you do not agree, do not use the Service.
1. Business service and contracting party
Reveiler is operated by IBL Holding Ltd.. These Terms are intended for business customers and authorized business users, not consumer use. References to “Customer” mean the organization purchasing, subscribing to, evaluating, or otherwise authorized to use Reveiler; “User” means an individual authorized by Customer.
2. Accounts, workspaces, and authorization
Customer is responsible for its Users, workspace configuration, access permissions, and the accuracy of information supplied to Reveiler.
Users must keep authentication credentials secure and may not share accounts except through features expressly designed for delegated access.
Customer must promptly remove access for Users who are no longer authorized.
Reveiler may use role-based, workspace, entitlement, and security controls to limit access and actions.
3. Subscriptions, modules, credits, and usage
Reveiler may be offered through packages, modules, entitlements, usage limits, and credits. The applicable order, checkout, proposal, or plan description determines purchased entitlements. Credits may be consumed by activities such as research, enrichment, AI processing, discovery, or outreach. Unless expressly stated otherwise in an order, credits are a contractual usage entitlement, not money, stored value, or a transferable financial instrument.
A feature that requires credits, a connected provider, an authorized mailbox, or another prerequisite may be unavailable when that prerequisite is absent. Reveiler is not required to substitute its own mailbox, provider account, or paid resource when Customer lacks the required authorization or entitlement.
4. Customer data and instructions
As between the parties, Customer retains its rights in data, content, files, lists, contacts, prompts, instructions, and other materials it submits to the Service (“Customer Data”). Customer grants IBL and its service providers the rights reasonably necessary to host, process, transmit, transform, and use Customer Data to provide, secure, support, and improve the Service in accordance with these Terms, the Privacy Policy, and any applicable DPA.
Customer represents that it has all rights, permissions, notices, consents, and lawful bases necessary to provide Customer Data and instruct Reveiler to process it.
5. Company Brain, intelligence, enrichment, and research
Reveiler may combine customer-authored information, uploaded evidence, public information, licensed/commercial business information, research results, and AI-generated or inferred information. Customer-authored or customer-approved information may be treated as authoritative within Customer’s workspace according to product rules. AI-generated, inferred, or third-party information may be incomplete, outdated, or inaccurate and should be reviewed before material decisions are made.
Reveiler may use proprietary routing, provider governance, relevance, freshness, and evidence mechanisms. Internal provider selection, routing logic, scoring methods, and administrative controls are confidential elements of the Service and are not Customer configuration unless expressly exposed as a customer feature.
6. AI-assisted features
AI-assisted outputs may include summaries, recommendations, classifications, drafts, translations, research, and other generated content. Such outputs are probabilistic and are not guaranteed to be accurate, complete, unique, or suitable for a particular legal, financial, employment, compliance, or other high-impact decision. Customer is responsible for appropriate human review and for decisions made using the Service.
7. Connected mailboxes
Customer may authorize Users to connect eligible Google or Microsoft mailboxes or other supported sending accounts. A User may enter provider credentials only through the provider’s own authorization process where OAuth is used; Reveiler does not ask Users to provide Google or Microsoft passwords to Reveiler.
Customer authorizes Reveiler to use a connected mailbox only within the permissions granted and for enabled features, including sending Customer-authorized outreach and reconciling relevant replies. Customer is responsible for ensuring that each mailbox connection is authorized by the mailbox owner and Customer.
Disconnecting a mailbox stops its use by Reveiler after the disconnect is processed. Historical outreach and reply records may remain as Customer business records. External provider revocation is controlled by the relevant provider and is not deemed confirmed unless the provider confirms it.
8. Outreach and communications compliance
Customer is solely responsible for determining whether and how to contact a person. Customer must comply with all laws and rules applicable to its outreach, including privacy, electronic communications, direct marketing, anti-spam, telemarketing, employment, consumer-protection, and sector-specific requirements. Customer must maintain required notices, lawful bases or consents, sender identification, suppression lists, and opt-out processes.
Customer may not use Reveiler to send unlawful, deceptive, fraudulent, harassing, discriminatory, abusive, or prohibited communications. Reveiler may suspend sending or other functionality where necessary to protect users, providers, deliverability, security, or legal compliance.
9. Acceptable use
Do not use Reveiler for unlawful activity or to violate another person’s rights.
Do not attempt to bypass tenant boundaries, security controls, credits, rate limits, entitlements, or provider restrictions.
Do not upload malware, harmful code, unlawfully obtained credentials, or data Customer is not authorized to process.
Do not use the Service to impersonate another person or organization without authorization.
Do not reverse engineer, extract, disclose, or attempt to reconstruct proprietary provider-routing logic, security controls, models, or confidential administrative functionality except where such restriction is prohibited by law.
Do not use automated means to overload or disrupt the Service.
10. Intellectual property
IBL and its licensors retain all rights in Reveiler, including software, interfaces, workflows, documentation, designs, models, routing logic, methods, and other technology. Except for the limited right to use the Service during the applicable subscription or authorized period, no rights are transferred to Customer.
Customer retains ownership of Customer Data. To the extent an output is protectable and ownership may be assigned under applicable law, IBL does not claim ownership of Customer-specific output solely because it was generated through the Service, subject to third-party rights and the underlying Reveiler technology.
11. Confidentiality
Each party may receive non-public information of the other party. The receiving party will use such information only for the relationship, protect it using reasonable care, and disclose it only to personnel and service providers with a need to know and appropriate obligations, except where disclosure is required by law.
12. Privacy and data protection
The Privacy Policy describes Reveiler’s privacy practices. Where IBL processes personal data on behalf of Customer as a processor/service provider, the parties may be subject to the Reveiler Data Processing Addendum. Customer remains responsible for its own controller obligations and for the legality of its instructions.
13. Third-party services
The Service may interoperate with third-party services. Those services are governed by their own terms and privacy practices. IBL is not responsible for third-party services outside its control. A third-party dependency may affect availability, deletion, authorization, data access, or other functionality.
14. Fees, taxes, renewal, and payment
Fees, billing periods, renewal terms, usage entitlements, and payment terms are determined by the applicable order, checkout, proposal, or plan. Customer is responsible for applicable taxes other than taxes based on IBL’s net income. Unless an order expressly provides otherwise, fees already incurred for a billing period or consumed usage are non-refundable to the extent permitted by law.
15. Suspension and termination
Customer may stop using the Service and may terminate according to its order or plan. IBL may suspend or restrict access where reasonably necessary for non-payment, security, suspected abuse, legal requirements, provider restrictions, material breach, or protection of the Service or third parties. IBL may terminate for material breach that is not cured within a reasonable cure period where cure is appropriate.
Upon termination, Customer access may end. Data retention, export, and deletion are governed by the applicable order, DPA, Privacy Policy, legal obligations, and supported product processes. Archive is not equivalent to deletion.
16. Service changes and availability
Reveiler may evolve over time. We may add, modify, or discontinue features, providers, models, integrations, limits, or interfaces. We will use commercially reasonable efforts to avoid materially reducing purchased core functionality during a committed subscription term without appropriate notice or an alternative remedy where contractually required.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” IBL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. IBL DOES NOT WARRANT THAT AI OUTPUTS, ENRICHMENT DATA, PUBLIC-SOURCE INFORMATION, DELIVERY RESULTS, OR THIRD-PARTY DATA WILL BE ERROR-FREE, COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR DECISION.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR AMOUNTS THAT CANNOT LAWFULLY BE LIMITED, CUSTOMER’S PAYMENT OBLIGATIONS, OR LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR MISUSE OF THE OTHER PARTY’S CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY, EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If an applicable order states a different negotiated limitation, the order controls.
19. Indemnification
Customer will defend and indemnify IBL against third-party claims arising from Customer Data, Customer’s unlawful outreach or instructions, Customer’s violation of law or third-party rights, or Customer’s material breach of these Terms, except to the extent caused by IBL’s own breach or misconduct. Any negotiated enterprise order may replace this clause.
20. Governing law and courts
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Unless an applicable order expressly provides another dispute mechanism, the competent courts located in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction, subject to any mandatory rights that cannot lawfully be waived.
21. Changes
We may update these Terms. Material changes will be communicated as required by law or contract. Continued use after the effective date of an update constitutes acceptance where legally permitted; otherwise, the applicable order or prior terms continue as required.
